Chipping in for the Red Sox Foundation Raffle

OFFICIAL RULES FOR THE RED SOX FOUNDATION CHIPPING IN FOR THE RED SOX FOUNDATION AT FENWAY PARK RAFFLE 2011

OFFICIAL RULES: By participating in the Chipping In For The Red Sox Foundation At Fenway Park Raffle 2011 (the "Raffle"), entrants agree to be bound by these Official Rules and by the decisions of the Red Sox Foundation, which shall be binding and final as to all matters related to the Raffle. The Raffle is subject to all applicable federal, state and local laws.

SPONSOR: The Red Sox Foundation, 4 Yawkey Way, Boston, MA 02215. Nonprofit Tax ID Number 33-1007984.

NET PROCEEDS: All net proceeds of the Raffle will benefit the Red Sox Foundation, a 501(c)3 public charity (hereafter known as "Sponsor") and the programs and charitable donations that Sponsor supports, including recreational, educational, health and social services for at-risk children and families, and the new Home Base Program offering services for veterans with Traumatic Brain Injury and Stress Disorders. Approximately 90% of the proceeds from the raffle proceeds will be dedicated to the Red Sox Foundation's charitable purposes.

PRIZES (8): THREE (3) GRAND PRIZES and FIVE (5) RUNNER UP PRIZES TO BE AWARDED: Three (3) Official Grand Prize Winners (as defined below) will EACH win:

Once-in-a-life-time opportunity to take a chip shot from home plate at Fenway Park on Monday, August 29, 2011. If one of the contestants hits the designated target, they will trigger a $50,000 charitable donation to the Red Sox Foundation and that contestant will personally receive a $5,000 cash prize from the contest sponsors. Winners will receive a special Red Sox premium item, a Deutsche Bank Championship fan experience and one (1) thirty (30) minute golf lesson at the Golf Town Academy, redeemable at any Golf Town location. All 3 Grand Prize Raffle Winners are invited to attend the exclusive cocktail reception in the EMC Club at Fenway Park on August 29, 2011.

Sixth place: Four (4) Grandstand Red Sox tickets to a 2012 Red Sox home game vs. Tampa Rays, opportunity to watch Red Sox batting practice plus personalized scoreboard message. (Date to be determined by Red Sox ticket availability; excludes Opening Day, Yankee series and post season games).

Seventh place: Five (5) thirty (30) minute golf lessons redeemable at any area Golf Town location in Massachusetts.

Eighth place: Autographed Red Sox home jersey signed by Hall of Famer, Jim Rice.

The Grand Prizes, First Pitch Prize, Runner Up Prizes or Golf Club Prize, Spring Training Prize, Deutsche Bank Championship Prize and Green Monster Prize will hereinafter be referred to each, as a "Prize" and collectively, the "Prizes."

All award decisions, including exact Prize details, to be determined in Sponsor's sole and absolute discretion. Official Winners' companions must be of legal age of majority in their jurisdictions of residence (and at least eighteen (18) years of age), unless accompanied by a parent or legal guardian. Major League Baseball game, event and exhibition dates and times are determined in the sole discretion of the Office of the Commissioner of Baseball and/or the Boston Red Sox, as applicable, and may be subject to change. The terms and conditions of the tickets awarded as prizes may govern in the event a legal game, event or exhibition, as defined by Major League Baseball, is not played due to weather, an act of God, an act of terrorism, civil disturbance or any other reason. Each Official Winner and his/her guest(s) agree to comply with all applicable ballpark regulations in connection with the Prize. Sponsor and the applicable MLB Entities reserve the right to remove or to deny entry to any Official Winner and/or his/her guest(s) who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game, event or exhibition. Released Parties (defined below under "RELEASE OF LIABILITY") will not be responsible for Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster outside their control that may cause the cancellation or postponement of any Major League Baseball game, event or exhibition.

All Prizes are awarded "as is," with no warranty or guarantee of any kind by the Released Parties, whether express or implied. Official Winners may not substitute, assign or transfer any Prize (or any portion thereof) or redeem any Prize (or any portion thereof) for cash or other consideration except at Sponsor's sole and absolute discretion. Sponsor reserves the right to substitute a Prize (or any portion thereof) with one of comparable or greater value at its sole and absolute discretion. Released Parties (i) make no warranty, guaranty or representation of any kind concerning any prize, and (ii) disclaim any implied warranty. The Prize is non-transferable and non-assignable, with no cash redemptions except at Sponsor's sole and absolute discretion. Any applicable taxes on prizes are the responsibility of Winner. Dates of redemption for any event, trip or player or Red Sox personnel related prizes will be set by Sponsor based on availability of tickets, personnel or other team related considerations.

CHARITABLE DONATION: During the Chip Shot Event, each Official Winner of the Grand Prize (each, a "Chip Shot Participant") will have the opportunity to take one (1) Chip Shot in Sponsor's sole discretion to hit a regulation golf ball (the "Golf Ball") to a designated target in a location in or around the outfield of Fenway Park to be selected in the sole and absolute discretion of Sponsor (the "Designated Target"). The Golf Ball and golf club (the "Golf Club") to be used for each Chip Shot will be provided by Sponsor. One (1) swing with the Golf Club by the Chip Shot Participant, regardless of contact with the Golf Ball, shall be considered the attempted hit (the "Attempt"). The Golf Ball must come to rest in the 1 foot diameter target, any person or any other object or surface as determined by Sponsor in its sole discretion (the "Successful Hit"). Each Chip Shot Participant will have one (1) Attempt in Sponsor's sole discretion to make a Successful Hit (i.e. for a total of three (3) Attempts during the Chip Shot Event). The Chip Shot Target is a 12 inch circle located near centerfield of Fenway Park approximately 100 yards from homeplate - though location may be adjusted slightly simply to avoid possible damage to lights or scoreboard)

The first Chip Shot participant able to achieve one (1) Successful Hit pursuant to the terms set forth above and as determined by Sponsor, a charitable donation in the amount of 50 thousand ($50,000) dollars (the "Charitable Donation") will be made to the Red Sox Foundation. For the avoidance of doubt, the Charitable Donation will be not be awarded to any Official Winner or Raffle ticket purchaser and is available only to the Red Sox Foundation subject to the terms and conditions set forth herein.

ELIGIBILITY TO ENTER: RAFFLE TICKETS MAY BE PURCHASED ONLY BY RESIDENTS OF MASSACHUSETTS WHO ARE 18 YEARS OF AGE OR OLDER in accordance with these Official Rules and Massachusetts law and instructions on www.redsox.com. Raffle tickets may NOT be purchased by anyone under the age of 18, regardless of location or method of purchase. Due to legal restrictions, residents outside of Massachusetts are NOT eligible to purchase Raffle tickets. This Raffle is void wherever prohibited by law.

The following persons are NOT ELIGIBLE to participate in the Raffle or to win any Prize: Employees, officers, directors, shareholders, members, agents and consultants of the Red Sox Foundation, the Boston Red Sox, the other MLB Entities (defined below), the New England Sports Network ("NESN") (collectively, the "Ineligible Parties"), the printer (if any) of the Raffle tickets, and any parent, subsidiary, affiliated entity, advertising agency, promotion agency and immediate family members of any Ineligible Party. The "MLB Entities" shall mean the Office of the Commissioner of Baseball, its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P. ("MLBAM") , Major League Baseball Enterprises, Inc., Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs, Tickets.com, Inc., SportsOnEarth, LLC and each of their respective subsidiaries or affiliated entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Major League Baseball Clubs or the Office of the Commissioner of Baseball, and the directors, officers, employees and agents of the above entities. "Immediate family members" means spouses, parents, grandparents, children, grandchildren, and siblings (and any of their respective spouses) of an Ineligible Party.

PURCHASING RAFFLE ENTRIES: The price of Raffle tickets will be twenty-five ($25) dollars per ticket. There are no discounted or complementary Raffle tickets. There is only one (1) way to purchase Raffle tickets (each, an "Entry" and collectively, the "Entries"): online at www.redsox.com/golf. Raffle tickets may be purchased online ONLY by residents of Massachusetts who are 18 years of age or older for twenty-five dollars ($25) each starting at 4:00:01 p.m. Eastern Time ("ET") on Thursday, August 4, 2011 until 11:59:59 a.m. (Noon) ET on Thursday, August 25th, 2011 (or until the maximum number of Raffle tickets are sold out, whichever is first) by visiting www.redsox.com/golf and following all rules and directions to purchase and print a Raffle ticket.

To be valid, a raffle ticket purchased on www.redsox.com/golf must be downloaded from the website and printed by the eligible entrant at the time of purchase. Entrants purchasing Raffle tickets online must fully complete their purchase using the procedures specified. All purchasers of Entries must provide their names, addresses, telephone numbers and (if available) e-mail address at the time of purchase.

Sponsor shall be the sole judge of the validity and eligibility of all Entries. Entries generated by other automated or mechanical means are void. Entries which are or appear to be tampered with are void. All Raffle Ticket purchases shall be final, and no refunds or replacements will be issued by Sponsor. Sponsor is not responsible for lost stolen or damaged tickets and they will not be replaced.

Official Rules are available on www.redsox.com at www.redsoxfroundation.org and are available from the Red Sox Foundation offices during regular business hours at Fenway Park and should be read before Raffle ticket purchase. Online Raffle ticket purchases are restricted ONLY TO RESIDENTS OF MASSACHUSETTS WHO ARE 18 YEARS OF AGE OR OLDER. Based on Sponsor's determination, Raffle tickets purchased by individuals and through means that are not in compliance with these Official Rules may be considered void and ineligible for Prizes. To be valid, all raffle Entries, regardless of method or location of purchase, must be purchased no later than 11:59:59 a.m. (Noon) ET on Thursday, August 25th, 2011. No portion of the Raffle ticket price may be deducted as a charitable contribution for federal income tax purposes.

MAXIMUM NUMBER OF RAFFLE TICKETS: A maximum total of 5,000 Raffle Tickets will be sold. If 5,000 Raffle tickets available are sold before 11:59:59 a.m. (Noon) ET on Thursday, August 25th, 2011 the Raffle shall be deemed "sold out" and no additional Raffle tickets will be sold. If the Raffle is sold out earlier than 11:59:59 a.m. (Noon) ET Thursday, August 25th, 2011, the Drawing will still occur on Friday, August 26th, 2011 as stated in these Official Rules (See "Drawing"). There is no minimum number of Raffle tickets that must be sold.

ODDS: There are eight (8) Prizes and the odds of winning a Prize depend on the number of eligible Entries received. If the maximum 5,000 Raffle tickets are sold, the odds of winning for each Raffle ticket are 8 in 5,000. If less than the maximum Raffle tickets are sold, the odds of winning will be greater. A maximum of one (1) Prize per winner will be awarded. (i.e. Raffle Purchasers may NOT win more than one (1) Prize.)

Due to legal restrictions, raffle tickets purchased online at www.redsox.com may NOT be given away or otherwise transferred. The Raffle is being conducted pursuant to a raffle permit issued to Sponsor by the City of Boston.

Purchasers of Raffle tickets, may not re-sell their Raffle tickets to other parties, and may not knowingly give such Raffle tickets away to others for the purpose of allowing those other parties to re-sell such Raffle tickets. All Raffle tickets which have been resold in violation of these Official Rules shall be void.

DRAWING: Potential winners will be selected in a random drawing from eligible Entries received (the "Drawing"). The Drawing will be held at Fenway Park in Boston, MA on Friday, August 26th, 2011 at 11:00 a.m. ET. If for any reason whatsoever the Drawing cannot be held on Friday, August 26th, 2011 the Drawing will be held on Saturday, August 27th, 2011. The winning Raffle ticket numbers will be announced by Sponsor at the Drawing. The winning Raffle ticket numbers will also be displayed on www.redsoxfoundation.org and on www.redsox.com/golf after the Drawing until Monday, August 29th, 2011 at 6:00 p.m. ET.

However, as provided below under "NOTIFICATION OF POTENTIAL WINNERS," owners of winning Raffle ticket numbers have only until Sunday, August 28th, 2011 at 4:00 p.m. ET at the latest to present their winning Raffle tickets for inspection and verification to claim their Prizes, even though the winning numbers may continue to be announced on websites or otherwise posted.

NOTIFICATION OF POTENTIAL WINNERS: Owners of eligible entries need NOT be present in person at the Drawing in order to win. Sponsor will attempt to contact the purchasers-of-record of the 8 winning entries ("Potential Winners") by mail, phone or email immediately after the Drawing, to notify them that they are Potential Winners, but only if and to the extent that Sponsor can successfully identify and contact such Potential Winners based on the identifying and contact information supplied by the purchasers of the Entries in question. It is not the responsibility of Sponsor or any of the MLB Entities to contact owners of winning tickets.

WHETHER OR NOT CONTACTED BY SPONSOR, EACH POTENTIAL WINNER MUST CONTACT SPONSOR DIRECTLY AND PRESENT THEIR WINNING TICKET FOR THE AUTHENTICATION PROCESSS REQUIRED TO CLAIM HIS/HER PRIZE BY CONTACTING THE SPONSOR VIA EMAIL AT redsoxfoundation@redsox.com OR BY CALLING THE RED SOX FOUNDATION AT (617) 226-6440 BETWEEN THE HOURS OF 11A.M. ET FRIDAY, AUGUST 26TH, 2011 AND 4:00 P.M. ET ON SUNDAY, AUGUST 28TH, 2011.

SPONSOR MUST BE ABLE TO INSPECT THE RAFFLE TICKET IN PERSON AND VERIFY THE AUTHENTICITY OF CLAIMANT'S PUPORTED WINNING RAFFLE TICKET BEFORE 4:00 P.M. ET ON SUNDAY, AUGUST 28TH, 2011 FOR ANY TICKET TO BE CONSIDERED VALID.

DETERMINATION OF OFFICIAL WINNER(S): Sponsor shall have the sole discretion to determine whether each Potential Winner is an official winner of a Prize (each, an "Official Winner" and collectively, the "Official Winners"). Sponsor's decision concerning the identity of all Official Winners shall be final and binding. To become an Official Winner: (1) a Potential Winner must be eligible to participate in the Raffle under these Official Rules and must not be in violation of these Official Rules as determined in Sponsor's sole judgment; (2) that Potential Winner must contact Sponsor, or be contacted by Sponsor, by the deadline specified above under "NOTIFICATION OF POTENTIAL WINNERS"; (3) that Potential Winner's winning entry must be inspected and verified in person by Sponsor by the deadline specified above; (4) that Potential Winner must execute and return to Sponsor an affidavit of eligibility on a form to be provided by Sponsor before the Prize is awarded; and (5) that Potential Winner must provide Sponsor with all tax identification information required by federal, state or local law and, where applicable, provide Sponsor with payment for any required withholding taxes due prior to that Potential Winner's receipt of the Prize. If for any reason whatsoever all of the foregoing requirements are not satisfied with respect to a particular Potential Winner, or if Sponsor is unable for any reason to identify the holder of a winning Raffle ticket or to contact a Potential Winner, then that Potential Winner's Prize will be deemed forfeited and, at Sponsor's sole discretion, an alternate Potential Winner and Official Winner of that Prize will be selected, through another random drawing from the remaining pool of eligible Entries.

Sponsor shall use the following rules to determine the identity of any Potential Winner and of the Official Winner of each Prize: (1) in the case of a Raffle ticket that was purchased at www.redsox.com, Sponsor shall conclusively presume that the purchaser of that Raffle ticket, as determined by credit-card purchase records, is the lawful owner of that Raffle ticket and that Raffle ticket's winning number and (2) in the case of a Raffle ticket that was purchased in person at Fenway Park or another specified in person sales venue, Sponsor shall conclusively presume that the person who is in possession of that Raffle ticket is the lawful owner of that Raffle ticket and that Raffle ticket's winning number, and Sponsor shall not make, nor have any duty to make, any inquiry whatsoever into the circumstances under which that person came into possession of such winning Raffle ticket. In the unlikely event that an error or problem in the administration of the Raffle results in two (2) or more Raffle ticket purchasers holding winning Raffle tickets that contain identical Raffle ticket numbers, then the person who presents the eligible winning ticket and whose ticket is authenticated first shall be deemed to hold the winning Entry.

AWARD OF 8 PRIZE(S) TO OFFICIAL WINNER(S): A Prize will be awarded to each Potential Winner who has been designated by Sponsor as an Official Winner up to the limit of 8 Prizes. All Prizes may be redeemed by the Official Winners at Fenway Park at time and date to be arranged by the Red Sox Foundation.

Each Official Winner shall be solely responsible for his/her own transportation and other to collect travel costs associated with his/her attendance or delivery of their prize.

TAXES: All federal, state and local income taxes are the sole responsibility of each Raffle winner. The taxable value of the Prize may be treated as ordinary income to the winner for federal and state income tax purposes, and each winner will be required by law to pre-pay a portion of the tax liability incurred in connection with his/her receipt of the Prize before receiving his/her Prize from Sponsor.

GENERAL CONDITIONS: The Released Parties are not responsible for: (1) Entries which are stolen, lost, damaged, illegible, given away or no longer in the purchaser's possession, (2) Entries that have been or may have been tampered with or re-sold in violation of these Official Rules; (3) Entries or payments that are delayed, misdirected, undelivered, not fully captured, or garbled as a result of any failure or problem whatsoever with the availability, functionality, operability or use of any network, server, ISP, website, Internet connection, computer, telephone, cable or satellite modem or connection, hand held mobile device or any other computer equipment or connection, whether or not caused by site users, tampering, hacking, or by viruses, worms, or malfunctions affecting a network, server ISP or any equipment or programming used in or associated with the Raffle; (4) the inability of a purchaser or prospective purchaser of an Entry to connect or stay connected to the Internet, to log on to any website, or to participate in or complete any online communication or activity related to the Raffle; (5) any other errors of any kind, whether human, typographical, printing, mechanical, or electronic in nature, which relate to or are connected with the Raffle (collectively, as described in clauses (1) through (5), "Errors"), including without limitation Errors in Raffle-related materials or in the administration of the Raffle, such as Errors in processing Entries, identifying Potential Winners, determining Official Winners, or announcing or delivering Prizes; or (6) any injury or damage to any person's computer equipment related to or resulting from participation in this Raffle, the use of any website associated with the Raffle, or the downloading of any materials from such website(s). Anyone who tampers with or abuses the downloading of any aspect of the Raffle or associated website, as determined in Sponsor's sole judgment, will be disqualified from participation in the Raffle and if applicable, will be deemed to have forfeited all claims to any Prize. If any portion of the Raffle is compromised, in the sole judgment of Sponsor or MLBAM, by a virus, worm, bug, non-authorized human intervention or other causes which, in Sponsor's sole judgment, corrupt or impair the administration, security, fairness or proper play of the Raffle, or the proper submission or capture of Entries (collectively, a "Compromising Event"), then Sponsor and/or MLBAM reserve the right, in its sole discretion, to suspend, modify or terminate the Raffle, and to select winners from all eligible, non-suspect Entries received before the known occurrence or discovery of such Comprising Event.

RELEASE OF LIABILITY: Entrants, by participation in the Raffle, agree that the Ineligible Parties and each of their respective owners, management, parents, affiliates, subsidiaries, partners, and advertising and promotion agencies, including but not limited to the Boston Red Sox, Red Sox Foundation, NESN, MLBAM, the other MLB Entities, and any and all of their respective officers, directors, employees, representatives, shareholders, members, consultants and agents (collectively, the "Released Parties") will have no liability whatsoever for, and shall be held harmless by entrants against, any liability for injuries, losses, cost, expenses or damages of any kind, including damages for death, personal injury, property damage or property loss, or other harm resulting from, whether in whole or in party or directly or indirectly, participation in this Raffle or the acceptance, receipt, possession, misuse or use of any Entry or Prize, or any travel or activity related to the acceptance, receipt, possession, misuse or use of any Prize, rules and their application thereof, all means of Raffle ticket sales, Raffle process, and/or winning Raffle ticket selection.

PUBLICITY RELEASE: Each Official Winner, by accepting his/her Prize, grants Sponsor and Sponsor's designees and affiliates, including the Boston Red Sox, full permission, except where legally prohibited, to use that Official Winner's name, address (city and state only), photograph, voice and/or other likeness and Prize information for advertising, trade and promotional purposes without further compensation and without notice, review or approval, in all media now known or hereafter discovered, worldwide, and on the Internet and world wide web, in perpetuity.

COPYRIGHT: All Raffle materials are copyrighted by Sponsor, and may not be copied, reproduced or used for any purpose without Sponsor's express prior written consent.

GOVERNING LAW; SEVERABILITY: The Raffle and these Official Rules shall be subject to and governed by the laws of the Commonwealth of Massachusetts. If a court of competent jurisdiction finds that any provision of these Official Rules, or their application to a particular persons or circumstances, is invalid or unenforceable to any extent, then the remainder of these Official Rules, and the application of all of these Official Rules to other persons or circumstances, shall not be affected by that determination, and shall remain enforceable to the fullest extent permitted by law.
